  • "Agreement" means these Terms and Conditions together with any engagement letter or service agreement entered into between Quorum Stead and a client.
  • "We / Us / Our" refers to Quorum Stead, a legal practice registered and operating in Malaysia.
  • "You / User" refers to any individual or entity who accesses our website or engages our services.
  • "Services" means the legal services provided by Quorum Stead, including commercial litigation, company secretarial support, and data protection advisory.
  • "Content" means all materials, information, and documents on our website.
  • "Engagement Letter" means the written confirmation of scope, fees, and terms issued before work commences on any matter.

2. Acceptance of Terms

By using this website or engaging our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you should not use this website or engage our Services. You confirm that you are at least 18 years of age and have the legal capacity to enter into an agreement.

3. Description of Services

Quorum Stead provides professional legal services including commercial litigation representation, company secretarial and statutory compliance services, and data protection advisory under the PDPA 2010. Services are provided in Malaysia and are subject to Malaysian law. Availability of specific services may vary based on practitioner capacity and the nature of your matter.

4. Engagement of Services

No legal relationship arises from an enquiry or initial consultation alone. A formal engagement commences only upon the signing or acceptance of a written Engagement Letter setting out the agreed scope, fees, and applicable terms. We reserve the right to decline any matter at our discretion.

5. User Responsibilities

When using our website or engaging our Services, you agree to:

  • Provide accurate, complete, and up-to-date information
  • Promptly inform us of any changes relevant to your matter
  • Not use our website for any unlawful purpose or in a manner that may harm others
  • Not attempt to gain unauthorised access to any part of our systems

7. Fees and Payment

All fees are denominated in Malaysian Ringgit (MYR) and are set out in the Engagement Letter prior to commencement of work. Fees for company secretarial services are structured as an annual retainer. Litigation and advisory fees are estimated at the outset and updated as necessary. Invoices are due within 14 days of issue unless otherwise agreed. Late payment may attract interest at the rate permitted by Malaysian law.

8. Service-Specific Terms — Legal Services

Engagement timelines for litigation depend on court scheduling and are not within our control. Estimates of duration are indicative only. Changes in scope arising from new facts or legal developments will be communicated and agreed in writing. For advisory engagements, deliverables are described in the Engagement Letter and are intended for use in the specific context described. For company secretarial retainers, the annual fee covers standard scope; unusual or complex changes outside normal scope will be discussed and priced separately.

Nothing in these Terms limits liability for fraud or gross negligence.

11. Confidentiality

Information disclosed to us in connection with a legal engagement is held in confidence in accordance with legal professional obligations and our Privacy Policy. You acknowledge that we may be required by law or court order to disclose certain information in specific circumstances.

12. Termination

Either party may terminate an engagement in accordance with the terms set out in the relevant Engagement Letter. We reserve the right to cease acting with reasonable notice where required by professional conduct obligations or where continued representation is not practicable. Fees for work completed prior to termination remain payable. On termination, we will provide your file and documents in a format agreed between the parties.

13. Governing Law and Disputes

These Terms are governed by the laws of Malaysia. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia. We encourage informal resolution of disputes in the first instance and will respond to any complaint within 10 business days.

14. General Provisions

These Terms constitute the entire agreement between us regarding use of this website. If any provision is found to be invalid or unenforceable, it shall be severed without affecting the remaining provisions. A failure to enforce any provision shall not constitute a waiver of that provision. These Terms may be updated from time to time; continued use of our website following an update constitutes acceptance.
